Terms of Service

These Terms of Service govern your use of Vroq Studio's website and the services we provide. By engaging with us — whether by submitting an enquiry, signing a proposal, or becoming a client — you agree to these terms. We've written them to be straightforward and fair.

1. About Vroq Studio

Vroq Studio is a web design and digital presence agency operating from West Bengal, India. We specialise in building conversion-focused websites, Google Business Profiles, SEO foundations, and complete online presence systems for small and growing businesses.

2. Services offered

Our services include, but are not limited to:

• Custom website design and development
• Google Business Profile setup and optimisation
• On-page SEO and technical SEO foundations
• Brand identity and visual design
• Website copywriting and content strategy
• Ongoing website maintenance and support

The exact scope of services is defined in a written proposal or project agreement provided before work commences. Any work outside this scope may incur additional charges and will be discussed with you first.

3. Client responsibilities

To ensure projects run smoothly and on time, clients agree to:

• Provide timely and accurate information required for the project (branding assets, copy, images, credentials, etc.)
• Review and provide feedback within the agreed timeframe
• Designate a single point of contact for communications
• Ensure all content and materials provided are owned by you or that you have the right to use them
• Make payments on time as per the agreed schedule

Delays caused by incomplete or late information provided by the client may extend the project timeline accordingly, and Vroq Studio will not be held responsible for such delays.

4. Payment terms

Payment is typically structured in stages, as outlined in the project proposal. Standard arrangements are:

• A deposit of 50% is required to commence work
• The remaining balance is due upon project completion, before the final website goes live
• For ongoing retainer services, invoices are issued monthly in advance

All payments are non-refundable once work has commenced, unless Vroq Studio fails to deliver the agreed services. Invoices not paid within the agreed period may incur a late fee or result in work being paused until payment is received. Specific payment terms, amounts, and due dates are detailed in your individual project proposal and supersede any general information stated here.

5. Revisions & delivery

Each project includes a fixed number of revision rounds as outlined in your project proposal (typically two rounds of revisions per major deliverable). Revisions are defined as amendments to existing work — not new requests or scope changes. Additional revisions beyond the agreed number will be quoted and billed separately. Estimated delivery timelines are provided in good faith and may be affected by client response times or force majeure events. Vroq Studio is not liable for delays outside its reasonable control.

6. Intellectual property

Upon receipt of full payment, ownership of the final website design and content created specifically for your project transfers to you, the client. Vroq Studio retains the right to:

• Display completed work in our portfolio and on our website
• Reference you as a client in our marketing materials (unless you request otherwise)
• Retain and reuse proprietary tools, templates, codebase components, and design systems developed during the project

All third-party assets (fonts, stock images, plugins, etc.) are subject to their own respective licences. It is the client's responsibility to maintain any required third-party licences after project handover.

7. Limitation of liability

Vroq Studio provides services on a best-effort basis and will always act in your best interest. However, we cannot guarantee specific business outcomes such as revenue increases, search rankings, or customer growth — as these depend on many factors beyond our control. To the maximum extent permitted by law, Vroq Studio's liability for any claim arising from our services is limited to the total amount paid by the client for the specific project or service in question. We are not liable for indirect, consequential, or incidental damages, including loss of profits or business opportunities.

8. Termination

Either party may terminate a project with written notice under the following conditions:

• By the client: Notice must be provided in writing. Any work completed up to the point of termination is billable and non-refundable.
• By Vroq Studio: We reserve the right to terminate a project if a client is abusive, consistently unresponsive for more than 30 days, or fails to make payment.

Upon termination, all deliverables completed to date will be provided to the client once any outstanding balance is settled.

9. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of the project. This includes, but is not limited to, business strategies, client data, pricing, and technical systems. This obligation continues after the project has ended.

10. Governing law

These Terms of Service are governed by the laws of India. Any disputes arising from our services will be first addressed through good-faith negotiation, and, failing that, subject to the jurisdiction of the courts of West Bengal, India.
